Dynamic Services & Security to Acquire Suncity Mall in Kolkata for ₹64 Crore

Kolkata, April 7, 2026: Dynamic Services & Security Limited has announced the acquisition of Suncity Mall in Kolkata through a strategic stake purchase in Badrinath Infrastructure Private Limited (BIPL), marking its entry into the real estate and commercial asset ownership space.
 
The company has entered into a Share Purchase Agreement to acquire 100% equity stake in BIPL, which owns the leasehold rights to the mall’s land and common areas. The total enterprise value of the transaction is pegged at ₹64 crore, with Dynamic Services planning an overall investment of up to ₹15 crore, including ₹5.09 crore in cash and ₹9.91 crore toward debt discharge.
 
Suncity Mall, located in Barasat in North 24 Parganas district, is built on a 0.83-acre leasehold land parcel and has a total super built-up area of approximately 1.52 lakh sq. ft. Currently, the mall structure is held through a multi-entity arrangement. While BIPL owns the land leasehold and common areas, five associate companies hold lease rights for the retail spaces across the ground and five upper floors for a period of 30 years.
 
These entities include Gourinandan Traders Private Limited, Kapileshwar Dealmark Private Limited, Levia Apartments Private Limited, Sukhari Enclaves Private Limited, and Everwhere Infraprojects Advisory Private Limited.
 
Post acquisition of BIPL, Dynamic Services plans to consolidate ownership by enabling BIPL to acquire 100% stakes in these five entities. Upon completion, all six companies will become part of a unified structure, effectively giving the group full control over the mall and its leasehold rights.
 
The asset currently generates a combined rental income of around ₹75 lakh per month, with potential for further upside through improved occupancy and leasing strategies.
 
BIPL, incorporated in 2006, is engaged in the operation and maintenance of the mall and reported a turnover of ₹4.97 crore in FY25. The five associate entities together contribute additional rental-linked revenues.
 
The company clarified that the transaction does not fall under related party transactions, and no promoter or promoter group entity has any interest in the target companies.
 
The acquisition is expected to be completed in phases, with the initial stake purchase in BIPL already underway and the consolidation of the remaining entities likely to be concluded within a month.
 
With this move, Dynamic Services & Security Limited is diversifying beyond its core services business into real estate-backed income-generating assets, creating a new revenue stream anchored in commercial leasing.
