Rudra Gas Enterprise Ltd has entered into a Shareholders’ Agreement to acquire a 71% stake in DS Pipeline Projects Ltd (DSPL) for ₹18.38 crore, as the company seeks to diversify and expand its gas pipeline business through an inorganic acquisition.
Rudra Gas Enterprise will acquire 87.54 lakh fully paid-up equity shares, representing 71% of DSPL’s aggregate paid-up share capital on a fully diluted basis. The total consideration for the transaction is ₹18.38 crore, which will be paid to the sellers through banking channels.
The company disclosed the development to the BSE on August 4, 2026, following earlier announcements dated March 3 and April 1 regarding the proposed acquisition.
Expansion into gas pipeline infrastructure
DS Pipeline Projects operates in the gas pipeline sector, with a focus on laying high-pressure steel gas pipelines in city areas, medium-density polyethylene (MDPE) pipelines and PNG connections.
Rudra Gas Enterprise said the acquisition is aimed at further diversifying and expanding its existing business operations through inorganic growth.
The transaction does not constitute a related-party transaction, according to the company. It also said that its promoters and promoter group have no existing interest in DS Pipeline Projects.
The sellers have obtained the applicable third-party consents required in connection with the transaction, with the company stating that these approvals do not contain objections or conditions that are unsatisfactory to the purchaser.
The acquisition is scheduled to close on August 4, 2026, or another date mutually agreed by the parties, with the consideration payable to the respective sellers on the closing date.
The transaction will give Rudra Gas Enterprise control of DSPL and expand its presence in gas pipeline infrastructure, particularly in city gas distribution-related activities involving high-pressure steel pipelines, MDPE networks and PNG connections.
With DSPL generating ₹84.85 crore of revenue in FY2024-25, the acquisition gives Rudra Gas Enterprise an established operating business as it seeks to expand its footprint through inorganic growth.
