One Point One Solutions Limited has announced that its wholly-owned subsidiary, One Point One Solutions MENA Holdings Limited, has executed a Purchase and Sale Agreement to acquire 100% shareholding in Netcom Business Contact Center S.A., Costa Rica, and its subsidiary Netcom BCC Colombia S.A.S., Colombia.
The acquisition, disclosed under Regulation 30 of the SEBI Listing Obligations and Disclosure Requirements Regulations, 2015, marks a strategic expansion for One Point One Solutions into the high-growth Latin American IT-enabled services (ITES) and business process outsourcing (BPO) market.
The total transaction value is $33.37 million, comprising an upfront payment of $25.41 million and an estimated performance-linked earn-out of $8.25 million, subject to post-closing adjustments based on EBITDA performance and excess working capital. Additional transaction-related costs are estimated at approximately $1 million. The consideration will be paid entirely in cash through a combination of upfront and deferred payments.
The acquisition does not constitute a related party transaction, and neither the promoters nor group companies of One Point One Solutions have any interest in the target entities. No governmental or regulatory approvals are required for the transaction. The legal closing is expected to be completed on or before March 31, 2026, subject to customary closing conditions.
Netcom operates a profitable, asset-light ITES platform offering omnichannel contact centre services, technical support, sales, back-office processing, and a specialized digital signature support service catering to regulated sectors such as banking and government. The company has an established operational presence across Costa Rica, Colombia, and Panama, supported by long-term contracts with blue-chip clients in banking, telecommunications, insurance, and the public sector. The target entities have demonstrated steady growth, reporting revenues of USD 25.35 million in 2024, $24.18 million in 2023, and $19.84 million in 2022.
According to the company, the acquisition will provide immediate scale and leadership in the Latin American BPO market, strengthen its global delivery footprint, and improve its overall financial and operating structure. The performance-linked earn-out structure is designed to align buyer and seller interests while mitigating downside risk.
Upon completion, One Point One Solutions MENA Holdings Limited will gain full ownership and control of both Netcom Business Contact Center S.A. and Netcom BCC Colombia S.A.S., further strengthening One Point One Solutions’ international expansion strategy.
