Mumbai: One Point One Solutions Ltd has completed the acquisition of ITCube Solutions Pvt Ltd, taking full ownership of the IT and business process management (BPM) services company through the final tranche of a transaction valued at about ₹84 crore.
The company informed stock exchanges that it has completed the second and final tranche of the acquisition, resulting in the purchase of 100% of ITCube’s equity share capital. The acquisition was carried out under a Share Purchase Agreement executed in February 2024 and was completed in two stages, with an initial acquisition of a 76% stake followed by the remaining 24%.
The total acquisition cost stands at ₹84 crore, comprising ₹58.45 crore paid for the first tranche and ₹15 crore for the second tranche, along with proceeds relating to a pre-closing share buyback undertaken by ITCube. The consideration for the acquisition was paid entirely in cash.
Pune-based ITCube Solutions provides information technology and information technology-enabled services (ITeS), with expertise in business process management, global software consulting and application development. Its technology capabilities span Microsoft SharePoint, Dynamics 365, Power Platform, .NET, React and Python, while its BPM offerings include data and content management, IT helpdesk and customer support services.
The acquisition is expected to strengthen One Point One Solutions’ IT and ITeS capabilities by adding an established technology platform, expanding its service portfolio and enhancing its presence in global software consulting and BPM services. The company said the deal also brings an experienced workforce, a diversified international client base, ISO 9001 and ISO/IEC 27001 certifications, and Microsoft Gold Partner status.
ITCube reported revenue of ₹51.28 crore in FY26, compared with ₹48.68 crore in FY25 and ₹53.90 crore in FY24. The company has operations in India and the United States, with its registered office in Pune.
