Jagsonpal Pharmaceuticals to Acquire Group Pharma’s Wellness Portfolio for Up to ₹46.7 Crore

Jagsonpal Pharmaceuticals Limited has entered into a Business Transfer Agreement (BTA) with Group Pharmaceuticals Limited to acquire its Wellness Portfolio through a slump sale on a going-concern basis, strengthening its presence in women’s healthcare and other complementary therapeutic segments.

The transaction, announced on September 23, 2026, involves an initial consideration of ₹23.7 crore at closing, with an additional consideration of up to ₹23 crore linked to sales achieved in FY2027-28. The total consideration is capped at ₹46.7 crore.

The Wellness Portfolio generated a turnover of ₹24.6 crore in FY2025-26, according to Jagsonpal’s regulatory filing.

The transaction is expected to be completed on or before November 1, 2026, subject to fulfilment of conditions precedent and other terms under the BTA.

The portfolio comprises identified products, assets, contracts, employees and other arrangements associated with the wellness business, which has an established presence in India. Jagsonpal plans to integrate the portfolio with its existing commercial platform and leverage its distribution network to create operating synergies.

Commenting on the acquisition, Manish Gupta, Managing Director, Jagsonpal Pharmaceuticals, said the deal will strengthen the company’s pharmaceutical portfolio and expand its presence across complementary therapeutic segments, particularly women’s healthcare.

Amrut Medhekar, Chief Operating Officer, Jagsonpal, said the company plans to integrate the portfolio and its employees while expanding its field force and pan-India presence and pursuing cross-selling opportunities.

Jagsonpal has an established portfolio across gynaecology, orthopaedics and dermatology, with more than 1,000 sales professionals and a pan-India commercial presence.
