Datamatics Global Services Acquires Remaining 20% Stake in Dextara Datamatics, Makes It a Wholly Owned Subsidiary

Datamatics Global Services Limited has announced the acquisition of the remaining 20% equity stake in Dextara Digital Private Limited (Dextara Datamatics), making it a wholly owned subsidiary of the company. The transaction was completed on June 20, 2025, following an initial 80% stake acquisition in April 2024.

Founded in October 2019, Dextara Datamatics is a fast-growing provider of Salesforce consulting, implementation, maintenance, and support services, and is recognized as a Platinum (Summit) Consulting and ISV Partner. The company operates in both India and the United States, and has developed proprietary products including Dextara CPQ, DXHealth+, and DXTemplates, aligning well with Datamatics’ strategy to build scalable, non-linear business models.

The acquisition was executed through cash consideration, with a total base payment of ₹33.55 crore:

  • ₹17.87 crore was paid on June 20, 2025
  • ₹15.68 crore is scheduled to be paid on or before March 31, 2026
  • An additional contingent consideration is tied to the achievement of specific business milestones, as per the terms of the Share Purchase Agreement.

Dextara Datamatics reported a consolidated turnover of ₹53.06 crore in FY 2024–25, following ₹59.90 crore in FY 2023–24, and ₹20.57 crore in FY 2022–23.

Commenting on the acquisition, a company spokesperson stated, “This move aligns with our growth strategy centered around hyper-scalers like Salesforce. With the enterprise platform being used by 95% of Fortune 100 companies, Dextara’s capabilities and products strengthen our position in this high-growth segment.”

The acquisition does not fall under related party transactions, and no promoter or group companies have any financial interest in the acquired entity.

The development reinforces Datamatics’ focus on expanding its digital transformation portfolio and tapping into the growing global demand for cloud-based enterprise solutions.
