Mumbai, June 10: DOMS Industries Ltd has signed an asset purchase agreement to acquire key assets associated with the Reynolds writing instruments business from subsidiaries of Newell Brands Inc. for a consideration of $3.7 million, excluding inventory value.
In a regulatory filing on Wednesday, the stationery and art products maker said the transaction covers certain assets, contracts, employees, intellectual property and associated liabilities related to the manufacture and sale of pens, markers, highlighters and school supplies under the Reynolds brand.
The agreement has been signed with Reynolds Pens India Pvt Ltd (RPI), Sanford L.P., Luxembourg Brands S.à r.l., Newell Europe S.à r.l., NWL Valence Services S.A.S. and NWL Switzerland S.à r.l., all subsidiaries of US-based Newell Brands.
As part of the transaction, DOMS will acquire manufacturing equipment, moulds, selected contracts and social media accounts from Reynolds Pens India, trademarks and copyrights from Luxembourg Brands, and patents and designs from Sanford L.P. The deal is expected to be completed on July 1, 2026, subject to customary closing conditions.
According to the company, the acquisition will strengthen its product portfolio and enhance its market presence in the writing instruments and school supplies segment.
Of the total consideration, around $3.52 million has been allocated towards plant and equipment, while trademarks and patents account for a smaller portion of the purchase price. The value of inventory will be determined separately at closing and adjusted subsequently based on the actual inventory position.
The transaction also includes ancillary agreements, including an intellectual property assignment agreement and a supply arrangement under which Reynolds Pens India will continue to supply pen tips to DOMS. In addition, DOMS will grant Reynolds Pens India a royalty-free licence to use the Reynolds brand as part of its corporate name, while Sanford will provide DOMS a royalty-free licence to use the Paper Mate brand to fulfil obligations under certain contracts being transferred.
The company clarified that the acquisition is an asset purchase and will not result in any change in management control or shareholding. It added that the counterparties are not related parties and that the transaction has been undertaken on an arm’s-length basis.
The acquisition marks a significant expansion for DOMS, which has been steadily strengthening its presence in India’s fast-growing stationery market. The addition of the iconic Reynolds brand assets is expected to further bolster the company’s position in the writing instruments category.
