Signoria Creation to Acquire 60% Stake in Herble Prints for ₹3.06 Crore

Signoria Creation Limited has announced the acquisition of a 60% equity stake in Jaipur-based Herble Prints Private Limited for a total consideration of ₹3.06 crore, pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, read with the relevant SEBI circular dated July 13, 2023.

 

The acquisition involves the subscription of 9,00,000 equity shares of face value ₹10 each at a price of ₹33.96 per share, to be made through cash consideration. Following the completion of the transaction, Herble Prints Private Limited will become a subsidiary of Signoria Creation Limited. The acquisition is expected to be completed by January 20, 2026.

 

Herble Prints Private Limited, incorporated on September 5, 2019, is engaged in textile printing and trading, with a focus on cotton, silk, rayon, nylon, Jaipuri cotton, Sanganeri prints, digital prints, and related textile products. The company has an authorised and paid-up share capital of ₹1.5 crore. For the financial year ended March 31, 2025, Herble Prints reported a turnover of ₹2,790.95 lakh and a profit after tax of ₹84.77 lakh. In the prior two financial years, the company posted turnovers of ₹2,257.47 lakh in FY24 and ₹2,485.35 lakh in FY23.

 

The transaction qualifies as a related-party transaction, as the promoter group of Signoria Creation Limited has an interest in Herble Prints Private Limited. Vasu Dev Agarwal, Babita Agarwal and Mohit Agarwal serve as common directors in both companies. Signoria Creation stated that the acquisition has been conducted on an arm’s-length basis and does not require any governmental or regulatory approvals.

 

According to the company, the acquisition is part of its broader strategy to strengthen and expand its textile business in India and overseas. The investment is expected to provide backward integration benefits and enhance operational efficiencies across the textile value chain.
