ARCL Organics Ltd has entered into a Memorandum of Understanding (MoU) with Vishvam Formalin, Angel Resins, and Mr. Hasmukhbhai Patel and Mr. Sandeep Patel to acquire land, industrial plants, machinery, and equipment located at Survey No: 442/P, Village Kadadra, Zak-Kdadra Road, Ta-Dehgam, District Gandhinagar, Gujarat.
The MoU outlines a preliminary agreement to pursue the acquisition, which is currently engaged in the manufacture of powder resins. The transaction is structured with a total consideration of ₹26 Crores, to be paid in three tranches:
- ₹13 Crores as a refundable advance,
- ₹7 Crores on or before December 13, 2025, and
- ₹6 Crores on or before December 31, 2025.
The proposed acquisition remains subject to statutory and regulatory approvals, internal corporate approvals, and the execution of a definitive sale agreement. Upon completion of payment and formal registration of deeds, ARCL Organics Ltd will take ownership of the assets.
The company stated that the acquisition is expected to strengthen its manufacturing footprint and enhance operational capacity, supporting future growth and expansion plans. Further updates will be provided once the definitive agreement is executed.
